2. Eligibility

You must be at least 18 years old to become a member of our Model Mentor Program. By becoming a member and using our services, you represent and warrant that you are 18 years of age or older, and have the legal capacity to enter into this agreement.

3. Account Registration and Security

  • Account Creation: To access certain features of our site, you may be required to create an account and purchase a membership package. You agree to provide accurate and complete information when creating your account and to update it as necessary to keep it accurate.
  • Account Security: You are responsible for maintaining the confidentiality of your account information, including your password, and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

4. Use of the Website

  • Personal Use: NicksNerds LLC grants you a limited, non-exclusive, non-transferable, and revocable license to access and use the website for your personal, non-commercial use.
  • Prohibited Activities: You agree not to use the website for any unlawful purpose or in any way that could harm, disable, overburden, or impair the site. Prohibited activities include, but are not limited to:
    • Posting, sharing, or transmitting any content that is illegal, obscene, defamatory, or infringing on any intellectual property rights.
    • Attempting to gain unauthorized access to the site, other accounts, or computer systems connected to the site.
    • Using any automated means, such as bots or scripts, to access or use the site.

5. Memberships, Pricing and Billing

  • Membership Plans: NicksNerds offers various membership plans. By subscribing, you agree to pay all applicable fees associated with your chosen plan. Membership fees are subject to change, and any changes will be communicated to you in advance. 
  • Billing: Membership fees will be billed to the payment method you provide when signing up. You authorize us to charge your payment method for the fees associated with your membership. Your subscription will automatically renew unless you cancel before the renewal date.
  • Cancellations: You may cancel your membership at any time through your account settings. If you are not able to cancel your membership through your account settings, please contact us at [email protected] for assistance. Upon cancellation, you will continue to have access to your membership until the end of your current billing period.
  • Chargebacks: By making a purchase or subscribing to any services provided by NicksNerds, you agree to the following terms regarding chargebacks:
          1.    Chargeback Policy: NicksNerds LLC takes chargebacks seriously and will actively dispute any unauthorized or fraudulent chargeback claims. If you initiate a chargeback for a transaction without prior communication with us to resolve any issues, we reserve the right to suspend or terminate your membership and/or access to services.
          2.    Efforts to Resolve Disputes: We strongly encourage members to reach out to our support team directly at [email protected] if there are any issues or concerns with their payment or membership. We are committed to working with you to resolve any disputes before resorting to chargebacks.
          3.    Responsibility for Charges: You acknowledge that by subscribing to or purchasing services from NicksNerds, you are responsible for ensuring the accuracy of payment information and the validity of your account. Any chargebacks or payment reversals resulting from inaccuracies or disputes will be your responsibility.
          4.    Penalties for Chargebacks: If a chargeback is initiated and it is determined that the chargeback was made in error or in bad faith, you may be liable for any fees, penalties, or administrative costs associated with the chargeback process, in addition to any damages resulting from your violation of our terms.
          5.    Prevention of Chargebacks: To prevent chargebacks, we encourage clear communication and transparency. If you have any concerns or need assistance, please contact us immediately before initiating a chargeback. We value our relationship with you and want to ensure a positive experience.
     

    By making a purchase or subscribing to NicksNerds services, you agree to these terms and acknowledge that you are responsible for resolving payment issues in good faith.

6. Intellectual Property

All content on NicksNerds, including text, graphics, logos, images, videos, and software, is the property of NicksNerds LLC or its licensors and is protected by copyright, trademark, and other intellectual property laws. You agree not to reproduce, distribute, modify, create derivative works from, publicly display, or otherwise exploit any of the content on the site without our prior written consent.

7. Termination

We reserve the right to terminate or suspend your access to the website and services, without notice or liability, for any reason, including if we believe you have violated these Terms & Conditions or engaged in any fraudulent or illegal activity.

8. Disclaimers and Limitation of Liability

  • Disclaimers: The website and all content and services provided through it are provided on an “as is” and “as available” basis. NicksNerds LLC makes no representations or warranties of any kind, express or implied, regarding the site, its content, or the services provided. While we strive to offer exceptional consulting and mentoring services, we make no guarantees regarding the success or profitability of your career, business or endeavors within the adult content & entertainment industry. The guidance, advice, resources, and services we provide, are for educational and informal purposes only. You as a member assume full responsibility for any actions you take as a result of using our platform, materials, and services.
  • 24/7 Chat & Support: While we offer 24/7 access to our Model Mentors & customer service team, please be aware that mentors and customer service may not always be available to respond to you immediately. Rest assured, our team will respond to your inquires in a timely manner, typically no later than 24 hours from your earliest message which has not yet been acknowledged. We appreciate your patience & understanding, as our mentors & customer service team balance multiple member engagements.
  • Communication Methods: For the safety & privacy of our members & mentors, ALL communications between members & their model mentors will be conducted exclusively through select text messaging apps, conference video call platforms, and designated email addresses. Accepted applications & platforms include; Google Voice, WhatsApp Business, Sideline, Telegram, Slack, Burner, Signal, Line2, Zoom, Google Meet, and Microsoft Teams. These approved methods help us ensure secure, professional interactions, protect personal information, & maintain a focused mentoring environment.   • Brand Identity Assistance Compliance Statement:
    At NicksNerds, we are committed to providing professional consulting & mentorship services for our dedicated members! For our Goth, Geek, & Freak members we offer our Pro Brand Identity Assistance service, to help you establish a strong & professional visual presence, in the adult business industry. It must be noted that while we provide offer the tolls and our guidance to help bring your brand’s identity to life, NicksNerds is NOT a professional design service, and we do NOT provide full scale concepts or creations. This ensures that our company’s focus remains on empowering you to develop your brand independently, with the creative and knowledgeable assistance from your model mentor! During the brand identity process however, we reserve the right to refuse or discontinue any project that violates the following guidelines:
    1.Offensive Content: We will not participate in the design of any logos, trademarks, or branding materials that contain offensive, defamatory, or discriminatory language or imagery.
    2.Racial, Ethnic, or Religious Discrimination: We will not participate in the creation or support any branding that promote racism, sexism, ageism, or any other form of discrimination against any group based on race, ethnicity, gender, sexual orientation, religion, disability, or nationality.
    3.Illegal Activities: We will not participate in the design of materials for businesses, products, or services that promote or are associated with illegal activities, including but not limited to drugs, gambling, fraud, human trafficking, or exploitation.
    4.Hate Speech and Violence: We will not engage in the design of logos or brand materials that promote hate speech, violence, or the incitement of harm against individuals or groups based on any protected characteristic.
    5.Obscene or Pornographic Material: We will not participate in the design of any logos, branding, or imagery that is obscene, pornographic, or sexually explicit in nature, unless the branding is intended for legitimate adult entertainment purposes and complies with relevant legal and industry standards.
    6.Intellectual Property Infringement: We will not participate in the creation or branding that infringe on any existing trademarks, copyrights, patents, or other intellectual property rights. Clients are required to ensure that their business name, logo, and branding materials do not violate any third-party intellectual property rights.
    7.Deceptive or Misleading Branding: We will not engage in creating logos or branding that misleads or deceives consumers, including false advertising or impersonation of other businesses or individuals.
     
    By engaging in our brand identity design services, you acknowledge and agree that your branding assistance complies with the above standards and that you will not ask us to participate in the creation of content that violates these terms. Should any project be deemed non-compliant, we reserve the right to refuse continued assistance & guidance, regarding the endeavors of your branding identity.  
     
    If you have any concerns or questions about whether your brand concept complies with these standards, we encourage you to reach out to us prior to beginning the design process.
  • Marketing, Media, & Brand Exposure: As a valued member of our VIP Freak membership package, you gain access to our marketing, media and brand exposure service. This exclusive service is operated through our social media platforms, and monthly newsletters. However, please note the following:
          1.    Review Process: All content and material submitted for exposure will undergo a review process by our NicksNerds team. We reserve the right to refuse any posting and content that does not meet our internal standards, or that may be deemed offensive, illegal, or otherwise inappropriate. This includes, but is not limited to, content that violates legal or ethical guidelines.
          2.    No Guarantee of Posting: While we strive to give your brand and business the most exposure possible, NicksNerds is not obligated to post any submitted content or material. All posts will be evaluated to ensure compliance with both NicksNerds’ standards and legal regulations.
          3.    Liability Disclaimer: By submitting content and material for exposure, you acknowledge that you are solely responsible for the legality and appropriateness of your brand, business, content, and any associated materials. NicksNerds assumes no responsibility or liability for any issues that may arise from your personal brand and business, including legal, financial, or reputational consequences.

          4.    Commitment to Standards: We are committed to maintaining the integrity of our platforms and ensuring that all posted content aligns with our community standards and legal obligations. This process helps us provide high-quality and professional exposure while protecting both our business and our members. By submitting your material and requesting exposure, you agree to the terms of this disclaimer and acknowledge that NicksNerds reserves the right to withhold and deny any posts that do not meet our standards.

  • Limitation of Liability: To the fullest extent permitted by law, NicksNerds LLC, its affiliates, and their respective officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from or related to your use of this site or our services.
  • Legal Compliance: Members are responsible for complying with all applicable laws & regulations within their jurisdiction, including but not limited to the adult content & entertainment industry, age verification, and consent. 

9. Indemnification

You agree to indemnify, defend, and hold harmless NicksNerds LLC, its affiliates, and their respective officers, directors, employees, and agents from any claims, losses, liabilities, damages, costs, or expenses (including reasonable attorneys’ fees) arising out of or related to your use of the site, your violation of these Terms & Conditions, or your violation of any rights of another.

10. Governing Law and Dispute Resolution

These Terms & Conditions and your use of the website shall be governed by and construed in accordance with all state and federal laws, including that of your jurisdiction, without regard to its conflict of law principles. Any disputes arising from or related to these terms or your use of the site shall be resolved exclusively through binding arbitration, except that you may assert claims in small claims court if your claims qualify.

  • Entire Agreement: These Terms & Conditions, together with our Privacy Policy, constitute the entire agreement between you and NicksNerds LLC regarding your use of the site and supersede all prior agreements and understandings.
  • Severability: If any provision of these terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
  • Waiver: No waiver of any term or condition of these terms shall be deemed a further or continuing waiver of such term or condition or any other term or condition.
